Terms of Service Overview
These Terms of Service (“Terms”) are a legal agreement between you and AUTHE IT INC., a Delaware corporation (“AUTHE IT,” “we,” “us,” or “our”). These Terms govern your access to and use of AUTHE IT’s website (https://autheit.com), iOS and Android mobile applications, related software, APIs, features, and support services (collectively, the “Services”).
By accessing or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not access or use the Services.
If you use the Services on behalf of an organization, you represent and warrant that you are authorized to bind that organization to these Terms. In that case, “you” and “your” refer to both you and that organization.
IMPORTANT NOTICE ABOUT AUTHENTICATION OUTPUTS: THE SERVICES USE ARTIFICIAL INTELLIGENCE AND MAY ALSO INCLUDE HUMAN REVIEW. ALL OUTPUTS, SCORES, CLASSIFICATIONS, REPORTS, LABELS, AND RECOMMENDATIONS (WHETHER GENERATED BY AI, HUMAN REVIEWERS, OR ANY COMBINATION) ARE PROBABILISTIC OPINIONS ONLY. THEY ARE NOT GUARANTEES, WARRANTIES, OR STATEMENTS OF FACT.
YOU MUST NOT RELY ON THE SERVICES AS YOUR SOLE BASIS FOR ANY PURCHASE, SALE, RESALE, CONSIGNMENT, INSURANCE, CHARGEBACK, DISPUTE, LEGAL, OR FINANCIAL DECISION.
IMPORTANT ARBITRATION NOTICE: SECTION 19 REQUIRES BINDING INDIVIDUAL ARBITRATION, A CLASS ACTION WAIVER, AND A JURY TRIAL WAIVER.
1. Definitions
Account means your registered account for the Services.
App means AUTHE IT’s mobile application for iOS and Android. The App is part of the Services.
Authentication Output means any output, result, score, flag, label, report, explanation, or recommendation generated, displayed, or delivered through the Services, whether produced by artificial intelligence, machine learning, human review, or any combination thereof. For the avoidance of doubt, all Authentication Output, including any component involving human review, constitutes a probabilistic opinion only and is subject to the disclaimers and limitations set forth in these Terms.
Subscription means any paid, auto-renewing, prepaid, or usage-based offering for the Services.
User Content means any content you submit to or through the Services, including photos, videos, text, metadata, item descriptions, brand/model details, serial numbers, receipts, communications, and any other materials you provide.
2.1 Age Requirement
You must be at least 18 years old and legally capable of entering into a binding contract.
2.2 Lawful Use
You may use the Services only in compliance with applicable law.
2.3 Export Controls and Sanctions
You represent and warrant that you are not located in, ordinarily resident in, or organized under the laws of a country or territory subject to U.S. embargoes, and are not on any U.S. government restricted party list. You will not use the Services in violation of U.S. export control or sanctions laws.
2.4 Geographic Availability
The Services are operated from the United States. AUTHE IT makes no representation that the Services are appropriate, available, or legally compliant in any particular jurisdiction outside the United States. If you access the Services from outside the United States, you do so at your own risk and are solely responsible for compliance with all applicable local laws. AUTHE IT reserves the right to restrict or limit access to the Services in any jurisdiction at any time, in its sole discretion.
3.1 Registration Information
You must provide accurate, current, and complete account information and keep it updated.
3.2 Login Methods
We may support login using Apple, Google, email/password, phone number, or other methods we make available.
3.3 Account Responsibility
You are responsible for all activity under your Account, including activity by any person who uses your credentials.
3.4 Security Notice
You must promptly notify us at hello@autheit.com if you suspect unauthorized access to your Account or other security incidents involving the Services.
4.1 Limited License
Subject to these Terms, AUTHE IT grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for lawful business or personal use.
4.2 Updates and Changes
We may deploy updates, fixes, patches, or modifications to the Services and App, automatically or otherwise. We may add, change, suspend, or discontinue features at any time.
4.3 Beta and Early Access Features
We may offer beta, preview, private beta, early access, or experimental features (collectively, “Beta Features”). Beta Features are provided “as is” and “as available” without warranty of any kind. You acknowledge and agree that:
(a) Beta Features may be incomplete, contain errors, or lack full functionality;
(b) AUTHE IT may modify, suspend, limit, or discontinue any Beta Feature at any time without prior notice or liability;
(c) Beta Features may carry additional disclaimers regarding accuracy, reliability, stability, and availability beyond those applicable to the Services generally;
(d) AUTHE IT may revoke your access to Beta Features at any time, for any reason or no reason;
(e) your use of Beta Features and any feedback, usage data, and other information generated through such use may be used by AUTHE IT without restriction, in addition to the rights granted under Section 6.8 (Feedback); and
(f) Beta Features are subject to all other terms and conditions of these Terms, including without limitation the disclaimers in Section 13 (Disclaimers) and the limitations of liability in Section 14 (Limitation of Liability).
AUTHE IT may require you to agree to additional terms or conditions as a condition of accessing specific Beta Features.
4.4 Restrictions
You may not, and may not permit any third party to:
(a) reverse engineer, decompile, disassemble, or attempt to derive source code from the Services, except where non-waivable law permits;
(b) circumvent security controls, technical protections, access controls, or usage limits;
(c) use scraping, harvesting, mining, bots, or similar methods to extract data from the Services except as expressly authorized;
(d) upload or transmit malware, malicious code, or harmful content;
(e) use the Services in a way that infringes third-party rights or violates law;
(f) access or use the Services to build a competing product or service using unauthorized data extraction; or
(g) use the Services for any governmental, regulatory, law enforcement, or customs enforcement purpose, including but not limited to seizure, forfeiture, criminal investigation, or regulatory enforcement proceedings.
4.5 AUTHE IT Intellectual Property
Except for your rights in User Content as expressly stated in these Terms, AUTHE IT and its licensors retain all right, title, and interest in and to the Services and all related intellectual property, including software, models, algorithms, interfaces, designs, text, graphics, and trademarks.
4.6 Usage Limits and Commercial Use
The license granted under Section 4.1 (Limited License) is intended for individual or ordinary course business use. AUTHE IT reserves the right to establish, modify, and enforce usage limits, rate limits, submission caps, or other restrictions on the volume, frequency, or manner of your use of the Services at any time, with or without prior notice.
You may not, without AUTHE IT’s prior written consent:
(a) create or maintain more than one Account per individual or entity, unless expressly authorized by AUTHE IT;
(b) use the Services on a high-volume, commercial-scale, or systematic basis that exceeds ordinary individual or business use, including bulk or automated submission of authentication requests;
(c) use the Services to provide authentication opinions, reports, or similar outputs to third parties on a commercial, fee-for-service, or white-label basis; or
(d) resell, redistribute, sublicense, or otherwise commercialize access to the Services or Authentication Output.
AUTHE IT may, in its sole discretion, offer separate commercial, enterprise, or high-volume tiers with different terms, pricing, and usage limits. If AUTHE IT determines that your use exceeds applicable limits or constitutes unauthorized commercial use, AUTHE IT may suspend or terminate your access, require you to transition to a commercial tier, or take other action as AUTHE IT deems appropriate.
5.1 Apple App Store
If you obtain the App through Apple’s App Store, the following apply:
(a) these Terms are between you and AUTHE IT, not Apple Inc. (“Apple”);
(b) your license is limited to use of the App on Apple-branded products that you own or control, as permitted by the Apple Media Services Terms and Conditions;
(c) Apple has no obligation to provide maintenance or support services for the App;
(d) to the maximum extent permitted by law, Apple has no warranty obligations for the App;
(e) if the App fails to conform to an applicable warranty, you may notify Apple and Apple may refund the purchase price (if any) paid for the App; to the maximum extent permitted by law, Apple has no other warranty obligation for the App;
(f) AUTHE IT, not Apple, is responsible for addressing claims relating to the App or your possession and use of the App, including product liability, legal compliance, consumer protection, or privacy claims;
(g) AUTHE IT, not Apple, is responsible for the investigation, defense, settlement, and discharge of any third-party claim that the App or your use of the App infringes that third party’s intellectual property rights;
(h) you represent and warrant that (i) you are not located in a country subject to a U.S. government embargo, and (ii) you are not on any U.S. government list of prohibited or restricted parties;
(i) you must comply with applicable third-party terms when using the App; and
(j) Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms and may enforce these Terms against you.
5.2 Google Play
If you obtain the App through Google Play, the following apply:
(a) these Terms are between you and AUTHE IT, not Google LLC or its affiliates (“Google”);
(b) your use of the App must comply with applicable Google Play terms, policies, and program requirements;
(c) to the maximum extent permitted by law, Google has no obligation to provide maintenance or support for the App; and
(d) to the maximum extent permitted by law, Google is not responsible for addressing claims relating to the App or your use of the App.
5.3 Device Permissions
The App may request access to device features (for example, camera, photo library, files, and notifications). You may control permissions in your device settings, but disabling permissions may limit App functionality.
6.1 Ownership Between You and AUTHE IT
As between you and AUTHE IT, you retain ownership of your User Content.
6.2 License You Grant to AUTHE IT
You grant AUTHE IT and its affiliates, contractors, service providers, successors, and assigns a worldwide, perpetual, irrevocable, non-exclusive, transferable, sublicensable, royalty-free, fully paid license to host, store, copy, reproduce, process, analyze, modify, adapt, translate, create derivative works from, display, publish, distribute, and otherwise use User Content for any lawful business purpose, including:
(a) providing, operating, maintaining, supporting, securing, and improving the Services;
(b) generating, validating, and delivering Authentication Output;
(c) quality control, fraud detection, model evaluation, model training, and model fine-tuning;
(d) research, analytics, testing, and product development;
(e) legal compliance, dispute resolution, and enforcement of these Terms; and
(f) marketing and promotion of the Services; provided, however, that AUTHE IT’s use of User Content containing identifiable third-party trademarks in external marketing materials shall be limited to nominative and referential use for identification purposes only.
The foregoing rights include use with or without attribution to you, unless otherwise required by applicable law.
6.3 Derived Works and Model Rights
You acknowledge and agree that AUTHE IT may create annotations, labels, embeddings, features, de-identified datasets, aggregated data, and other derivative materials from User Content. As between you and AUTHE IT, AUTHE IT owns those derivatives, as well as any resulting models, model improvements, and related intellectual property, subject to your ownership of original User Content under Section 6.1.
For the avoidance of doubt, de-identified, aggregated, or derivative data and materials created under this section, and models trained using such data, are not considered “personal information” subject to individual deletion requests, to the extent permitted by applicable law. 6.4 Moral Rights and Similar Rights
To the extent permitted by law, you waive (and agree not to assert) any moral rights, droit moral, or similar rights in User Content against AUTHE IT and its permitted sublicensees regarding uses authorized under these Terms.
6.5 Survival
The licenses and rights in this Section 6 (User Content and IP Rights) survive termination of your Account, subject to applicable law and rights described in our Privacy Policy.
6.6 Your Representations and Warranties
You represent and warrant that:
(a) you own or control all rights needed to submit User Content and grant the rights in these Terms;
(b) your User Content and your use of the Services do not infringe or misappropriate third-party rights and do not violate law;
(c) your User Content is not knowingly false, fraudulent, or deceptive;
(d) you have all required permissions from individuals whose personal information appears in User Content; and
(e) you acknowledge that User Content may contain third-party trademarks, brand names, logos, or other proprietary indicia, and that AUTHE IT’s use of such content in connection with the Services (including for identification, authentication, model training, and nominative reference) does not constitute infringement of, or require authorization from, any such third-party rights holder.
6.7 Monitoring, Moderation, and Removal
We may monitor, review, remove, reject, disable, or restrict User Content and may suspend Accounts where we believe necessary for legal compliance, safety, security, or enforcement of these Terms.
6.8 Feedback
If you provide feedback, suggestions, or ideas, you grant AUTHE IT a perpetual, irrevocable, worldwide, royalty-free, sublicensable right to use them without restriction or compensation.
7.1 Probabilistic Outputs
Authentication Output is generated using probabilistic AI/ML systems and may include human review. All Authentication Output (whether produced by AI, human reviewers, or any combination) is a probabilistic opinion only and may be inaccurate, incomplete, or incorrect. Where Authentication Output includes or incorporates human review, such review is also a probabilistic opinion and is subject to the same disclaimers and limitations set forth in these Terms.
7.2 Independent Opinion; Not a Certificate
Authentication Output is AUTHE IT’s independent informational opinion only. It is not a certificate of authenticity, appraisal, guarantee, legal opinion, insurance determination, or representation by any brand owner.
7.3 No Brand Affiliation
AUTHE IT is independent and is not affiliated with, endorsed by, sponsored by, licensed by, authorized by, or acting on behalf of any luxury brand or brand owner, including without limitation Chanel, Louis Vuitton, or any other brand referenced within the Services. AUTHE IT does not claim any endorsement, license, authorization, or affiliation from or with any brand owner. Any third-party trademarks, brand names, logos, or other proprietary indicia appearing within the Services are used solely for nominative and referential purposes to identify the goods being evaluated and remain the property of their respective owners. Authentication Output does not represent the views, quality assessments, endorsements, or opinions of any brand owner. AUTHE IT does not act as an agent, representative, authorized dealer, or authorized service provider of any brand.
7.4 No Reliance; Human Expert Recommended
You agree not to rely solely on the Services for material decisions. You should obtain review from a qualified independent human authentication expert before taking actions based on any Authentication Output.
7.5 No Professional Advice
The Services do not provide legal, financial, tax, insurance, investment, or other professional advice.
7.6 Assumption of Risk
You assume all risk arising from your use of Authentication Output and from any decision or transaction you undertake based on the Services.
7.7 No Agency; No Marketplace
AUTHE IT is not a marketplace, broker, intermediary, escrow agent, or party to any transaction between you and any third party. The Services provide authentication opinions only. Authentication Output does not constitute facilitation, endorsement, or guarantee of any purchase, sale, resale, consignment, or other transaction. AUTHE IT has no responsibility or liability for any transaction between you and any third party, regardless of whether such transaction was informed by Authentication Output.
7.8 Authentication Output License
As between you and AUTHE IT, AUTHE IT retains all right, title, and interest in and to all Authentication Output. Subject to these Terms, AUTHE IT grants you a limited, non-exclusive, non-transferable, revocable license to use Authentication Output solely for your own personal or internal business reference. You may not reproduce, publish, distribute, sublicense, or publicly display Authentication Output, or use Authentication Output in any third-party listing, advertisement, marketplace posting, or commercial communication, except with AUTHE IT’s prior written consent.
8. Acceptable Use
You will not use the Services to:
(a) violate law or third-party rights;
(b) upload content you do not have rights to use;
(c) commit fraud, misrepresentation, or deceptive practices;
(d) interfere with or disrupt the Services or supporting infrastructure;
(e) attempt unauthorized access to systems, accounts, or data;
(f) harass, abuse, exploit, or harm others;
(g) authenticate, verify, or evaluate items for the purpose of selling, distributing, or facilitating the sale or distribution of counterfeit, replica, or unauthorized goods as genuine; or
(h) use or present Authentication Output in any manner that misrepresents, overstates, or distorts the nature, scope, or reliability of the Services, including by representing Authentication Output as a certification, guarantee, or definitive determination of authenticity.
9.1 Billing Channels
Subscriptions and purchases may be processed through Apple In-App Purchase, Google Play Billing, and other authorized payment channels.
9.2 Auto-Renewing Subscriptions
If you purchase an auto-renewing Subscription, it will renew automatically unless canceled before renewal in your applicable app store account settings.
9.3 Cancellation
You may cancel renewals at any time in your app store account settings. Deleting the App does not cancel your Subscription.
9.4 No Refunds
All purchases are final and non-refundable, except where required by law or by applicable app store policies. Nothing in this section limits or modifies any refund rights you may have under applicable app store terms and policies.
9.5 Price Changes
We may change pricing prospectively. Changes apply to future billing periods after notice as required by law and platform rules.
9.6 Taxes
You are responsible for applicable taxes, duties, and governmental charges, except taxes based on AUTHE IT’s net income.
9.7 App Store Billing Relationship
For purchases made through Apple or Google, billing, cancellation processing, and platform-specific refund rights are administered by the applicable app store under its terms and policies. AUTHE IT does not control app store billing systems.
10.1 Service Communications
You agree that we may send transactional or service-related communications (including account, billing, security, policy, and legal notices) by email, in-app notifications, SMS/text, or push notifications where permitted by law.
10.2 Marketing Communications
Where permitted by law and based on your preferences, we may send marketing emails, SMS/text messages, and push notifications. You may opt out using available unsubscribe or device controls. Where required by law, your consent to receive marketing texts is not a condition of purchase.
By providing your phone number and affirmatively opting in to receive marketing text messages (whether during account registration, through in-app settings, or through any other opt-in mechanism we make available), you expressly consent to receive recurring marketing and promotional text messages from AUTHE IT at the phone number you provide. You understand and agree that:
(a) your consent to receive marketing text messages is not a condition of purchasing any product or service from AUTHE IT;
(b) message frequency varies;
(c) message and data rates may apply depending on your mobile carrier and plan;
(d) you may opt out of marketing text messages at any time by replying STOP to any marketing text message you receive from us, or by adjusting your communication preferences in your account settings;
(e) after opting out, you may receive a single confirmation message, and you will no longer receive marketing text messages unless you re-subscribe; and
(f) opting out of marketing text messages does not affect transactional or service-related communications (such as account alerts, billing confirmations, and security notices), which you may continue to receive as described in Section 10.1 (Service Communications).

11. Third-Party Services
The Services may integrate with third-party services, including app stores, identity providers, cloud providers, analytics providers, and external AI/model providers. Third-party services are governed by their own terms and policies, and AUTHE IT is not responsible for third-party services.
12.1 By You
You may stop using the Services at any time and may request account deletion as described in our Privacy Policy.
12.2 By AUTHE IT
We may suspend, limit, or terminate access immediately (with or without notice) if we reasonably determine that:
(a) you breached these Terms;
(b) your use creates legal, security, or operational risk;
(c) your conduct is fraudulent, abusive, or unlawful; or
(d) action is required by law, court order, regulator, app store, or service provider.
12.3 Effect of Termination
Upon termination, your license to access and use the Services ends immediately. Termination does not relieve you of obligations accrued before termination.
12.4 Survival
Sections that by nature should survive will survive termination, including Sections 6 (User Content and IP Rights), 7 (Authentication Outputs and Risk Allocation), 8 (Acceptable Use), 13 (Disclaimers), 14 (Limitation of Liability), 15 (Indemnification), 19 (Dispute Resolution; Arbitration; Class Action Waiver), 20 (Changes to Terms), 21 (General Provisions), and 22 (Contact).
13. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES, APP, AND ALL AUTHENTICATION OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, OR SECURITY.
AUTHE IT DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.
AUTHE IT DOES NOT GUARANTEE ANY AUTHENTICATION RESULT OR OUTCOME. ALL OUTPUTS, WHETHER GENERATED BY AI, HUMAN REVIEW, OR ANY COMBINATION, ARE PROBABILISTIC OPINIONS ONLY AND ARE NOT CERTIFICATES, GUARANTEES, OR STATEMENTS OF FACT.
THE SERVICES ARE NOT INTENDED TO FACILITATE, ENDORSE, OR ENABLE THE PURCHASE, SALE, OR DISTRIBUTION OF COUNTERFEIT OR UNAUTHORIZED GOODS. AUTHE IT IS NOT RESPONSIBLE FOR ANY TRANSACTION INVOLVING GOODS THAT ARE SUBSEQUENTLY DETERMINED TO BE COUNTERFEIT, REGARDLESS OF ANY AUTHENTICATION OUTPUT PROVIDED.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUTHE IT AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUTHE IT’S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) USD $100; OR (B) THE TOTAL AMOUNTS YOU PAID TO AUTHE IT FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
NOTHING IN THESE TERMS EXCLUDES LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
15. Indemnification
To the maximum extent permitted by law, you will defend, indemnify, and hold harmless AUTHE IT and its affiliates, officers, directors, employees, contractors, licensors, and service providers from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:
(a) your access to or use of the Services;
(b) your User Content;
(c) your breach of these Terms;
(d) your violation of law or third-party rights (including intellectual property, privacy, publicity, and consumer protection rights);
(e) disputes between you and third parties (including buyers, sellers, marketplaces, and brand owners) related to your use of the Services or Authentication Output; and
(f) your use of Authentication Output in any transaction, listing, representation, or communication with any third party.
16. Governing Law
These Terms and all disputes arising out of or relating to these Terms or the Services are governed by the laws of the State of New York, without regard to conflict-of-law principles.
17. Copyright Complaints (DMCA)
If you believe content accessible through the Services infringes your copyright, send a notice to hello@autheit.com that includes the information required by 17 U.S.C. Section 512(c)(3), including:
(a) identification of the copyrighted work claimed to be infringed;
(b) identification of the allegedly infringing material and information reasonably sufficient for us to locate it;
(c) your contact information;
(d) a statement of good-faith belief that the challenged use is not authorized by the copyright owner, its agent, or the law;
(e) a statement, under penalty of perjury, that the information is accurate and that you are authorized to act on behalf of the owner; and
(f) your physical or electronic signature.
We may remove or disable access to allegedly infringing material and may terminate repeat infringers in appropriate circumstances.
18. Trademark Notice
All third-party trademarks, service marks, brand names, logos, trade dress, and other proprietary indicia referenced, displayed, or used within the Services are the property of their respective owners. Such marks are used by AUTHE IT solely for nominative and referential purposes to identify the goods being evaluated. Use of any third-party trademark within the Services does not imply endorsement, sponsorship, affiliation, authorization, or any relationship between AUTHE IT and the owner of such mark. Nothing in these Terms or the Services grants you any right to use any AUTHE IT or third-party trademark.
19.1 Informal Resolution First
Before filing a formal claim, the claimant must send written notice of the dispute and attempt good-faith informal resolution for at least forty-five (45) days. Notices to AUTHE IT must be sent to hello@autheit.com.
19.2 Agreement to Arbitrate
Except for claims that may be brought in small claims court and claims seeking injunctive relief for intellectual property infringement or unauthorized access, any dispute arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under applicable AAA rules.
19.3 Arbitration Venue
Unless otherwise required by law, arbitration will be conducted in New York County, New York, or remotely as permitted by AAA rules.
19.4 Class Action Waiver
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND AUTHE IT AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL PROCEEDING.
19.5 Jury Trial Waiver
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND AUTHE IT WAIVE THE RIGHT TO A JURY TRIAL FOR ANY CLAIM PERMITTED TO PROCEED IN COURT.
19.6 Arbitration Opt-Out
You may opt out of this arbitration agreement by emailing hello@autheit.com within thirty (30) days after first accepting these Terms. Your notice must include your full name, account email, and the subject line “Arbitration Opt-Out.”
19.7 Venue for Non-Arbitrable Claims
For claims not subject to arbitration, exclusive venue is the state or federal courts located in New York County, New York, and each party consents to personal jurisdiction there.
20. Changes to Terms
We may modify these Terms from time to time. If we make material changes, we will update the “Last Updated” date and provide additional notice where required by law. Your continued use of the Services after the effective date of updated Terms constitutes acceptance of the updated Terms.
21.1 Entire Agreement
These Terms and the Privacy Policy form the entire agreement between you and AUTHE IT regarding the Services.
21.2 Severability
If any provision is held unenforceable, the remaining provisions remain in effect, and the unenforceable provision will be enforced to the fullest extent permitted by law.
21.3 Waiver
Failure to enforce any provision is not a waiver of future enforcement.
21.4 Assignment
You may not assign these Terms without AUTHE IT’s prior written consent. AUTHE IT may assign these Terms without restriction in connection with a merger, acquisition, reorganization, or sale of assets.
21.5 Force Majeure
AUTHE IT is not liable for delay or failure caused by events beyond reasonable control, including natural disasters, labor disputes, acts of war, terrorism, civil unrest, internet outages, and failures of third-party services.
21.6 Electronic Communications
You consent to receive communications and notices electronically.
21.7 No Third-Party Beneficiaries
Except as expressly provided in Section 5.1 (Apple App Store) for Apple and its subsidiaries, these Terms do not create third-party beneficiary rights.
